1. Acceptance of Terms

By accessing and using Calen ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

CalenAI is an AI-powered calendar management platform that provides:

• Real-time Google Calendar synchronization via webhooks
• AI assistant powered by Claude for natural language calendar management
• Semantic search across all your calendar events
• Automated event embeddings for intelligent recommendations
• Contact extraction and management from calendar attendees
• Credit-based system for AI operations

3. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and identification
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to use the Service to:

• Upload, post, or transmit any content that is illegal, harmful, threatening, or abusive
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to any portion of the Service
• Use the Service for commercial purposes without our express written consent

5. AI Assistant and Calendar Data

By using our AI calendar assistant, you understand and agree that:

• The AI assistant accesses your synchronized calendar data to provide contextual assistance
• Each AI interaction consumes credits based on the operation complexity
• Your calendar data is processed through OpenAI embeddings for semantic search
• AI responses are generated by Claude and may require verification
• Real-time webhooks keep your calendar synchronized automatically
• You can revoke Google Calendar permissions at any time through Google Account settings
• All AI interactions are logged for quality and support purposes

6. Credits and Subscription

Our service operates on a credit-based system:

• Free Tier: 100 credits per month for basic usage
• Pro Plan: 10,000 credits per month for $10/month
• Credit Usage: AI messages (10 credits), event processing (1-5 credits)
• Billing: Subscriptions processed via Stripe, billed monthly
• Refunds: Pro-rated refunds available within 14 days
• Cancellation: Cancel anytime, access continues until period ends
• Overages: Service pauses when credits exhausted, upgrades available

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Calen and its licensors. The Service is protected by copyright, trademark, and other laws.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever including:

• Breach of the Terms of Service
• Request by law enforcement or other government agencies
• Discontinuation or material modification to the Service
• Unexpected technical or security issues
• Google Integration: If Google access is revoked, calendar features will be disabled
• Data Deletion: Upon termination, all Google Calendar data deleted within 30 days

9. Disclaimers

The information on this service is provided on an "as is" basis. To the fullest extent permitted by law, this Company excludes all representations, warranties, conditions and terms whether express or implied.

10. Limitation of Liability

In no event shall Calen, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service.

11. Data Processing and Privacy

Additional terms regarding data processing:

• We act as a data processor for your Google Calendar data
• Data is stored in Supabase (US-based servers)
• Embeddings are generated and stored for search functionality
• Webhook notifications processed in real-time
• No data sharing with third parties except service providers
• Compliance with GDPR and CCPA where applicable

12. Governing Law

These Terms shall be interpreted and governed by the laws of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Google API Integration

By using CalenAI's Google Calendar integration, you agree to:

• Google Terms: Comply with Google's Terms of Service and API Terms
• Limited Use: We use Google Calendar data solely for providing CalenAI services
• Data Access: Grant CalenAI permission to access your Google Calendar data
• Revocation: You can revoke access anytime through Google Account settings
• Service Dependency: Calendar features require active Google integration
• API Compliance: All data handling follows Google's API Services User Data Policy

14. User Responsibilities

When using CalenAI, you agree to:

• Accurate Information: Provide accurate calendar and profile information
• Authorized Access: Only connect Google accounts you own or have permission to use
• Appropriate Use: Use AI features responsibly and not for harmful purposes
• Security: Keep your login credentials secure and report unauthorized access
• Compliance: Follow all applicable laws and regulations in your use of the service
• Content Responsibility: You remain responsible for all calendar content and AI interactions

15. Service Limitations

You acknowledge these service limitations:

• Calendar sync limited to Google Calendar (more providers coming soon)
• Historical data synced from 4 years past to 4 years future
• Webhook channels expire after 28 days and auto-renew
• AI context limited to your own calendar data
• Maximum 2,500 events per sync operation
• Service availability subject to third-party API limits

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
